Terms of Service

1. Definitions
- "Platform" means the igentbase marketplace, user dashboard, developer console, APIs, and all related services operated by igentbase inc.
- "Agent" means any AI agent, tool, or service listed on the igentbase marketplace by a Developer.
- "User" means any individual or organization that creates an account and uses the Platform to discover, install, or interact with Agents.
- "Developer" (or "Publisher") means any individual or organization that publishes Agents on the Platform through the Developer Console.
- "Workspace" means a User's organizational account on the Platform, which may include multiple team members.
- "Content" means any data, text, reviews, descriptions, or materials submitted to the Platform by Users or Developers.
2. Account Registration
2.1 Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization.
2.2 Authentication
Accounts are created through third-party OAuth providers (Google, Microsoft, or GitHub). You are responsible for maintaining the security of your authentication credentials. igentbase does not store passwords.
2.3 Account Linking
If you sign in with multiple OAuth providers using the same email address, your accounts will be linked into a single Workspace. You may manage connected providers from your account settings.
2.4 Workspace Roles
Workspaces support three roles: Owner, Admin, and Member. The Owner is responsible for all activity within the Workspace, including billing, agent usage, and team member actions.
3. Use of the Platform
3.1 Permitted Use
You may use the Platform to:
- Browse, search, and evaluate Agents on the marketplace
- Install Agents into your Workspace for use with supported clients (Claude Desktop, Claude Code, Cursor, Windsurf, Cline, and other compatible platforms)
- Manage installed Agents, API keys, and usage analytics through the User Dashboard
- Submit reviews and ratings for Agents you have installed
- Report Agents that violate these Terms or the Developer Policy
3.2 Prohibited Use
You may not:
- Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to reverse-engineer, decompile, or extract source code from any Agent or Platform component
- Circumvent access controls, rate limits, or security measures
- Submit false, misleading, or fraudulent reviews or ratings
- Create multiple accounts to manipulate install counts, ratings, or other metrics
- Use automated tools to scrape, crawl, or harvest data from the Platform beyond what is permitted by robots.txt
- Resell, sublicense, or redistribute Agents without explicit authorization from the Developer
- Interfere with the Platform's infrastructure, availability, or performance
3.3 Agent Usage
When you install an Agent, the Agent may process data on your behalf according to its published data governance policy. You acknowledge that:
- Agents are developed and maintained by third-party Developers, not by igentbase
- Each Agent has its own privacy policy, EULA, and data governance disclosures
- igentbase provides trust scores and governance metadata to help you evaluate Agents, but does not guarantee the accuracy of Developer-provided information
- You are responsible for evaluating whether an Agent is appropriate for your use case, data sensitivity, and compliance requirements
4. API Keys and Access Tokens
When you install an Agent, the Platform generates a unique API key (user token) for your Workspace. You are responsible for:
- Keeping API keys confidential and not sharing them with unauthorized parties
- Revoking compromised keys immediately through the User Dashboard
- All API calls made using your keys, regardless of who initiated them
igentbase reserves the right to revoke API keys that are used in violation of these Terms or that pose a security risk.
5. Reviews and Ratings
5.1 Review Guidelines
Reviews must be based on your genuine experience with the Agent. Reviews must not contain:
- False or misleading claims about an Agent's functionality
- Personal attacks, harassment, or discriminatory language
- Spam, promotional content, or links to competing services
- Confidential information, trade secrets, or private data
5.2 Review Moderation
Reviews that receive 3 or more reports from distinct users are automatically hidden pending review. igentbase reserves the right to remove reviews that violate these guidelines. Developers may respond to reviews but may not suppress legitimate criticism.
6. Billing and Payments
6.1 Agent Pricing
Agents may be free, freemium (free with paid features), or paid. Pricing is set by Developers and displayed on the Agent's detail page. Some Agents charge per API call based on token usage.
6.2 Billing Responsibility
The Workspace Owner is responsible for all charges incurred by the Workspace, including usage by team members and automated processes. Usage is tracked and displayed in the User Dashboard billing section.
6.3 Refunds
Refund eligibility depends on the specific Agent and circumstances. Contact the Agent Developer directly for refund requests. igentbase may intervene in disputes where Developers are unresponsive or where charges were unauthorized.
7. Intellectual Property
7.1 Platform IP
The igentbase platform, including its design, code, branding, and documentation, is owned by igentbase inc, a Delaware corporation. You may not copy, modify, or create derivative works from the Platform without written permission.
7.2 Agent IP
Agents are the intellectual property of their respective Developers. Installing an Agent grants you a limited, non-exclusive, non-transferable license to use the Agent as described in its EULA.
7.3 User Content
You retain ownership of Content you submit (reviews, reports, etc.). By submitting Content, you grant igentbase a non-exclusive, worldwide, royalty-free license to display, distribute, and moderate that Content on the Platform.
8. Data and Privacy
Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your data. Key points:
- We collect only what is necessary to operate the Platform
- We do not sell your personal data
- Agent-specific data handling is governed by each Agent's data governance policy
- You can request data export or deletion at any time
9. Platform Availability and Agents
9.1 Availability
igentbase aims for high availability but does not guarantee uninterrupted service. Scheduled maintenance will be announced in advance via the status page.
9.2 Agent Health
igentbase monitors Agent health and may take action on Agents that are consistently unavailable or non-functional:
- Warned — Agent has shown intermittent issues. Users are notified.
- Suspended — Agent is auto-delisted after repeated downtime. New installs are blocked and existing API keys return
503 agent_unavailable.
9.3 Agent Removal
igentbase reserves the right to remove or suspend any Agent that violates the Developer Policy, poses security risks, or receives sustained user complaints. Affected Users will be notified.
10. Disclaimers
igentbase is a marketplace. We facilitate the connection between Users and Developers but are not responsible for:
- The accuracy, reliability, or quality of any Agent's output
- Data loss, security breaches, or damages caused by third-party Agents
- Business decisions made based on Agent outputs
- Compliance of Agents with industry-specific regulations (HIPAA, SOX, etc.)
11. Limitation of Liability
To the maximum extent permitted by law, igentbase's total liability to you for any claims arising from your use of the Platform shall not exceed the amount you paid to igentbase in the 12 months preceding the claim, or $100, whichever is greater.
In no event shall igentbase be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
12. Indemnification
You agree to indemnify and hold harmless igentbase, its officers, employees, and affiliates from any claims, damages, or expenses arising from:
- Your use of the Platform or any Agent
- Your violation of these Terms
- Your violation of any third-party rights
- Content you submit to the Platform
13. Termination
13.1 By You
You may close your account at any time from the User Dashboard settings. Upon closure, your installed Agents will be deactivated and your API keys will be revoked. Reviews you submitted will remain on the Platform in anonymized form.
13.2 By igentbase
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or pose a security risk. We will provide notice where practicable and allow you to export your data before permanent deletion.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or a banner in the User Dashboard at least 30 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance.
15. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which igentbase operates. Any disputes shall be resolved through binding arbitration, except where prohibited by law, in which case disputes may be brought in the courts of competent jurisdiction.
